In the second value-reducing transaction in 14 months, CDL Hotels is proposing to sell its majority stake in Millennium & Copthorne Hotels to parent City Developments. Takeovers normally command a premium, but CDL wants to pay a large discount, and then distribute the cash back out of CDLH. We look at this blatant attempt to buy off CDLH minorities with their own money, and at the timing of an option grant which would land the directors a profit of over HK$114m. (14-Jul-2000)
